Quotations
Quotations are valid for 30 days unless stated otherwise. They are based on the specifications, quantities, delivery location and commercial terms stated in the quotation.
Published dimensions, weights, flow rates and performance data are nominal. Project-specific values are confirmed in the order acknowledgement and, where applicable, the certified drawing.
Orders and acceptance
An order is accepted only when Belvanta issues a written order acknowledgement. Customer purchase-order terms that conflict with these Terms of Sale are not binding unless expressly accepted by Belvanta in writing.
Belvanta may decline an order where specifications cannot be met, where required documentation is unavailable, or where compliance with applicable law would be compromised.
Prices, taxes and payment
Prices are exclusive of taxes, duties, freight and insurance unless stated. Payment terms are stated in the order acknowledgement. Overdue amounts may attract interest at the rate permitted by law.
Belvanta may suspend delivery where payment is overdue or where the customer's credit condition materially changes.
Delivery, title and risk
Delivery dates are estimates made in good faith. Belvanta will notify the customer of any material delay. Title and risk pass in accordance with the agreed Incoterm or, if none is stated, on delivery to the customer's carrier.
The customer must inspect goods on receipt and notify Belvanta in writing of visible damage or shortage within five business days.
Warranty
Belvanta warrants that products conform to the order acknowledgement and are free from defects in material and workmanship for twelve months from delivery, unless a different period is stated.
The warranty does not cover damage caused by incorrect installation, operation outside published limits, unauthorized modification, normal wear or media incompatibility.
Returns and cancelled orders
Returns require written authorization. Standard catalogue products may be returned in unused condition within 30 days, subject to inspection and a restocking charge. Custom, cut, assembled or certified products are not returnable unless defective.
Cancellation of custom or made-to-order products may incur charges for engineering, material and work already performed.
Limitation of liability
To the maximum extent permitted by law, Belvanta's liability arising from an order is limited to the price of the affected products. Belvanta is not liable for indirect or consequential losses, including loss of production, profit or contract.
Nothing in these terms excludes liability for death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be excluded.
Force majeure and governing law
Neither party is liable for delay or failure caused by events beyond its reasonable control, provided it notifies the other party and makes reasonable efforts to mitigate the effect.
These terms are governed by the laws of the State of Texas, United States. The parties submit to the non-exclusive jurisdiction of the courts of Harris County, Texas.
